Terms of Use

1. Definitions

The terms used in these Terms of Use shall have the following definitions:

  • Terms: refers to these Terms of Use.
  • Client: refers to any natural or legal person who has subscribed to mediaROI's services under a contract.
  • Content: refers to all elements published on or constituting the Site, regardless of their medium, format (text, image, code, video) or accessibility.
  • User: refers to any internet user connecting to or using the Site, as well as natural persons designated by Clients as Users of the services under the contract between the Client and mediaROI (Note: when the User is a Client's User, the term User refers to both the User and the Client under the applicable contractual provisions).

2. Scope of the Terms

These Terms govern the use of the Site by a User.

By browsing the Site and performing actions on it, the User acknowledges having read these Terms and accepts them without reservation.

mediaROI reserves the right to modify these Terms at any time. The applicable Terms are always those in effect at the time of the User's access.

These Terms are supplemented by the Privacy Policy.

3. Description of Services Provided

The purpose of the Site is to provide information about all of our activities and to allow access to User account(s) created and dedicated to the Client in order to use the services. The services provided through these User account(s) include a file and content upload space to enable mediaROI to analyze Client data, and a data exchange space with external applications via API: Google Ads, Meta, Amazon Ads, TikTok (non-exhaustive list — hereinafter "Third-Party Media Platforms") using the User's account(s) on these Third-Party Media Platforms, in order to retrieve the data necessary for the performance of the services agreed in the contract between the Client and mediaROI.

mediaROI endeavors to provide information on the Site that is as accurate as possible. However, we cannot be held responsible for omissions, inaccuracies or deficiencies in updates, whether caused by us or by third-party partners providing such information.

All information on the Site is provided for informational purposes and is subject to change. Furthermore, the information on the Site is not exhaustive and is subject to modifications made since it was published.

4. Access to the Site

The User is responsible for setting up the IT, technical, network and telecommunications resources required to access the Site, and for having the knowledge necessary to use the Internet and access the Site or User account. The User bears the costs of connection and equipment related to Internet access and use of the Site. The User accesses and uses the Site at their own risk.

It is prohibited to attempt to gain unauthorized access to the Site's services, or to access or remain on the Site by any means other than the interface provided to the User by mediaROI for this purpose.

5. Account Creation and Management

Account creation and use is governed by these Terms and is reserved for Users designated by mediaROI's Clients. Access to the User account is conditional upon subscribing to the services and entering into a contract between the Client and mediaROI. Upon creation, the Client must provide the list of email addresses of Users authorized to access the Site's services (within the limits agreed in the contract between the Client and mediaROI).

Access to the services is provided via a secure single-use link sent to the email address of the User who requests it each time they wish to access the services. The User shall not transfer the link received to any person, including members of the Client's teams. The User remains solely responsible for how the link is used, so that any connection to their account will be presumed to have been made by them. In the event of fraudulent or suspicious access to their account, the User must inform mediaROI without delay.

6. User Conduct

Each User must use the Site, including their account where applicable, in a responsible manner with the respect and courtesy required towards third parties and mediaROI. As such, when accessing the Site (including their private space), the User shall refrain from:

  • performing any act that they would not be authorized to carry out under applicable laws and regulations;
  • uploading to the Site and/or displaying content not previously authorized by mediaROI or that could compromise the security of the Site;
  • disrupting or interrupting the operation of the Site or the servers or networks connected to the Site;
  • attempting to harm any other User, the hosting provider or network, including exposing the Site to a virus, creating saturation, flooding the server, etc.;
  • accessing data not intended for them or entering a server/private space to which the User is not authorized to have access;
  • attempting to probe, scan or test the vulnerability of a system, including the Site or a network, or to breach security or authentication measures without authorization;
  • impersonating another person, including another User;
  • transmitting or transferring (by any means) information or software derived from the Site, in particular to third parties including other countries, in violation of any national or international law or regulation.

The User is solely responsible for any loss or damage, including damage to their computer system/devices (computers, smartphones, tablets, etc.) or any resulting data loss, whether direct or indirect.

7. Personal Data and Cookies

Information about the processing of User personal data and Site cookies is set out in the Privacy Policy.

8. Intellectual Property

The Content of the Site and the products presented are the property of mediaROI, its partners or third parties. Some Content (for example, software, databases, photographs, illustrations, text, graphic design or combinations thereof) may be protected by intellectual property rights, including copyright and trademark law.

The disclosure of such Content shall not be construed as granting any license thereon or any right other than the right to view and use the Site under the conditions set out in these Terms and, where applicable, the contract between the Client and mediaROI.

Any total or partial reproduction of the Site or its Content without the prior written authorization of mediaROI exposes offenders to legal proceedings.

The User undertakes to upload to the Site only files and content for which they have received authorization or for which they hold all applicable rights. The User also undertakes to use only their dedicated professional accounts created in the course of their duties with the Client, for the purpose of retrieving data from Third-Party Media Platforms.

9. Links to Third-Party Sites and Services

The Site may provide links to other websites or information sources managed by partner sites or third parties. As mediaROI cannot exercise control over these sites, we make no commitment regarding the availability and content of these external sites and sources, and disclaim all liability for personal data processing carried out through these sites, content, advertisements, products or services.

mediaROI also disclaims all liability for any proven or alleged damages or losses resulting from or in connection with the use of, or reliance on, content, goods or services available on these partner services or external sources.

Setting up links to the Site is not subject to any prior agreement, but the person doing so undertakes to comply with applicable legislation and these Terms. However, the Site should be displayed in a new browser window or tab, and framing techniques should not be used. mediaROI reserves the right to request the removal of any link it considers not in keeping with the purpose of the Site (including these Terms), defamatory, infringing, parasitic or in breach of its rights or those of third parties.

10. Limitation of Liability

mediaROI undertakes to ensure the proper operation of the Site; however, its liability shall not be engaged for any inconvenience or direct or indirect damage that the User may suffer as a result of using the Site or inconvenience or damage inherent to the use of the Internet, including service interruptions, external intrusions or computer viruses.

mediaROI shall also not be held liable for indirect damages (such as loss of market, loss of data or loss of opportunity) resulting from the use of the Site.

Interactive spaces (requesting a demo or via the account) are available to Users. mediaROI reserves the right to delete, without prior notice, any content posted in these spaces that, in mediaROI's opinion, contravenes applicable legislation in France or its editorial policy. Where applicable, mediaROI also reserves the right to take civil and/or criminal action against the User, particularly in the event of racist, abusive, defamatory or pornographic messages, regardless of the medium used (text, photograph, etc.).

The User is responsible for the files and content they upload to their account and for the accuracy of the data contained in such files and content.

11. Site Navigation

The Site is normally accessible to the User at all times. However, an interruption for maintenance (upgrades or technical) may be decided by mediaROI, which will endeavor, where possible, to communicate the dates and times of the intervention to the User in advance.

12. Severability and Entirety of the Terms

If one or more provisions of these Terms are held to be invalid or declared as such under any law, regulation or following a final decision of a competent court, the remaining provisions shall retain their full force and effect.

In the event of difficulty in interpreting any heading at the top of a provision and any clause, the headings shall be disregarded and the content of the relevant clause shall prevail.

13. Consequences of a Breach of the Terms

mediaROI may terminate the User's use of the Site for any conduct that violates these Terms.
